Terms of Service

1. Acceptance of Terms

By accessing or using Hygenie.ai (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms form a binding agreement between you and Hygenie.ai.

2. The Service

Hygenie.ai provides AI-powered coaching tools for B2B sales professionals, including real-time demo coaching, post-call analysis, and related features. The Service is offered on a subscription or beta basis and may change over time.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. By using the Service you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at jakeweber@hygenieai.com of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload content that infringes intellectual property, privacy, or publicity rights of others.
  • Upload recordings or transcripts without the necessary consents from all parties under applicable wiretapping and recording laws.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Interfere with or disrupt the Service or attempt to gain unauthorized access.
  • Use the Service to generate harmful, deceptive, or abusive content.

6. Your Content

You retain ownership of demo transcripts, recordings, and other content you submit (“Your Content”). You grant Hygenie a limited license to process Your Content solely to provide the Service, including sending it to third-party AI model providers for analysis. You are solely responsible for obtaining any required consents from meeting participants before uploading recordings.

7. Intellectual Property

Hygenie and its licensors own all right, title, and interest in and to the Service, including all software, branding, frameworks (including the Hygenie Demo Framework), and documentation. Nothing in these Terms grants you any right to our trademarks, logos, or proprietary methodologies except as necessary to use the Service.

8. Beta Features

Features marked as beta or early access are provided “as is” for evaluation. They may change, be discontinued, or contain errors. We are not liable for any issues arising from beta use.

9. Fees & Payment

Paid plans are billed in advance on a recurring basis. All fees are non-refundable except where required by law. We may change pricing with at least 30 days’ notice before the next billing cycle.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends immediately; provisions intended to survive will continue to apply.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HYGENIE DOES NOT GUARANTEE ANY SPECIFIC SALES OUTCOME, CLOSE-RATE IMPROVEMENT, OR BUSINESS RESULT FROM USING THE SERVICE. COACHING OUTPUTS ARE SUGGESTIONS ONLY AND NOT PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYGENIE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 IF NO FEES HAVE BEEN PAID.

13. Indemnification

You agree to indemnify and hold Hygenie harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including recording and consent laws).

14. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas for any disputes not subject to arbitration.

15. Changes to Terms

We may update these Terms. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
